HOA Petition

We, the undersigned Members of Greenbriar Homeowners Association, Inc., representing at least ten percent (10%) of the votes entitled to be cast in the Association, hereby 𝗰𝗮𝗹𝗹 𝗳𝗼𝗿 𝗮𝗻𝗱 𝗱𝗲𝗺𝗮𝗻𝗱 𝗮 𝗦𝗽𝗲𝗰𝗶𝗮𝗹 𝗠𝗲𝗲𝘁𝗶𝗻𝗴 𝗼𝗳 𝘁𝗵𝗲 𝗠𝗲𝗺𝗯𝗲𝗿𝘀𝗵𝗶𝗽 pursuant to Greenbriar Bylaws §§4.5, 4.6 and 5.4, N.C.G.S. §47F-3-108, and N.C.G.S. §55A-7-02. 𝐏𝐮𝐫𝐩𝐨𝐬𝐞 𝐨𝐟 𝐭𝐡𝐞 𝐒𝐩𝐞𝐜𝐢𝐚𝐥 𝐌𝐞𝐞𝐭𝐢𝐧𝐠 The purpose of the Special Meeting is for the Members of the Association to 𝐜𝐨𝐧𝐬𝐢𝐝𝐞𝐫 𝐚𝐧𝐝 𝐯𝐨𝐭𝐞 𝐮𝐩𝐨𝐧 𝐭𝐡𝐞 𝐫𝐞𝐦𝐨𝐯𝐚𝐥, 𝐰𝐢𝐭𝐡 𝐨𝐫 𝐰𝐢𝐭𝐡𝐨𝐮𝐭 𝐜𝐚𝐮𝐬𝐞, 𝐨𝐟 𝐭𝐡𝐞 𝐟𝐨𝐥𝐥𝐨𝐰𝐢𝐧𝐠 𝐦𝐞𝐦𝐛𝐞𝐫𝐬 𝐨𝐟 𝐭𝐡𝐞 𝐁𝐨𝐚𝐫𝐝 𝐨𝐟 𝐃𝐢𝐫𝐞𝐜𝐭𝐨𝐫𝐬: 1. 𝗧𝗶𝗻𝗮 𝗕𝗲𝗹𝗹𝗮𝗻𝗴𝗲𝗿, Director 2. 𝗘𝗻𝗿𝗶𝗰𝗼 𝗧𝗮𝗺𝗮𝘆𝗼, Director 3. 𝗝𝗮𝗾𝘂𝗮𝗿𝗮 𝗟𝘂𝗻𝗻, Director 4. 𝗦𝗵𝗲𝗺𝗲𝗰𝗰𝗮 𝗠𝗰𝗙𝗮𝗱𝗱𝗲𝗻, Director 5. Vacant as of 9/28/2026, Director 𝗧𝗵𝗲 𝗿𝗲𝗺𝗼𝘃𝗮𝗹 𝗼𝗳 𝗲𝗮𝗰𝗵 𝗗𝗶𝗿𝗲𝗰𝘁𝗼𝗿 𝗹𝗶𝘀𝘁𝗲𝗱 𝗮𝗯𝗼𝘃𝗲 𝗰𝗼𝗻𝘀𝘁𝗶𝘁𝘂𝘁𝗲𝘀 𝗮 𝘀𝗲𝗽𝗮𝗿𝗮𝘁𝗲 𝗽𝗿𝗼𝗽𝗼𝘀𝗲𝗱 𝗮𝗰𝘁𝗶𝗼𝗻 𝗮𝗻𝗱 𝘀𝗵𝗮𝗹𝗹 𝗯𝗲 𝗰𝗼𝗻𝘀𝗶𝗱𝗲𝗿𝗲𝗱 𝗮𝗻𝗱 𝘃𝗼𝘁𝗲𝗱 𝘂𝗽𝗼𝗻 𝘀𝗲𝗽𝗮𝗿𝗮𝘁𝗲𝗹𝘆. The undersigned Members further request that, if one or more Directors are removed, the Members 𝗲𝗹𝗲𝗰𝘁 𝗮 𝘀𝘂𝗰𝗰𝗲𝘀𝘀𝗼𝗿 𝗼𝗿 𝘀𝘂𝗰𝗰𝗲𝘀𝘀𝗼𝗿𝘀 𝗮𝘁 𝘁𝗵𝗲 𝘀𝗮𝗺𝗲 𝗦𝗽𝗲𝗰𝗶𝗮𝗹 𝗠𝗲𝗲𝘁𝗶𝗻𝗴 𝘁𝗼 𝗳𝗶𝗹𝗹 𝘁𝗵𝗲 𝗮𝗽𝗽𝗹𝗶𝗰𝗮𝗯𝗹𝗲 𝘂𝗻𝗲𝘅𝗽𝗶𝗿𝗲𝗱 𝘁𝗲𝗿𝗺 𝗼𝗿 𝘁𝗲𝗿𝗺𝘀, as contemplated by Greenbriar Bylaw §5.4. 𝗗𝗲𝗺𝗮𝗻𝗱 𝗳𝗼𝗿 𝗠𝗲𝗺𝗯𝗲𝗿𝘀𝗵𝗶𝗽 𝗠𝗲𝗲𝘁𝗶𝗻𝗴 This petition constitutes a written demand by the Members for a 𝗦𝗽𝗲𝗰𝗶𝗮𝗹 𝗠𝗲𝗲𝘁𝗶𝗻𝗴 𝗼𝗳 𝘁𝗵𝗲 𝗠𝗲𝗺𝗯𝗲𝗿𝘀𝗵𝗶𝗽. The undersigned are specifically demanding a meeting at which the Members may consider and vote upon the removal proposals identified above. 𝗧𝗵𝗶𝘀 𝗽𝗲𝘁𝗶𝘁𝗶𝗼𝗻 𝗶𝘀 𝗻𝗼𝘁 𝗮 𝗿𝗲𝗾𝘂𝗲𝘀𝘁 𝗳𝗼𝗿 𝘁𝗵𝗲 𝗦𝗽𝗲𝗰𝗶𝗮𝗹 𝗠𝗲𝗲𝘁𝗶𝗻𝗴 𝘁𝗼 𝗯𝗲 𝗿𝗲𝗽𝗹𝗮𝗰𝗲𝗱 𝗯𝘆 𝗮𝗻 𝗮𝗰𝘁𝗶𝗼𝗻 𝗰𝗼𝗻𝗱𝘂𝗰𝘁𝗲𝗱 𝘀𝗼𝗹𝗲𝗹𝘆 𝗯𝘆 𝘄𝗿𝗶𝘁𝘁𝗲𝗻 𝗯𝗮𝗹𝗹𝗼𝘁 𝗼𝗿 𝗲𝗹𝗲𝗰𝘁𝗿𝗼𝗻𝗶𝗰 𝗯𝗮𝗹𝗹𝗼𝘁 𝘄𝗶𝘁𝗵𝗼𝘂𝘁 𝗮 𝗺𝗲𝗲𝘁𝗶𝗻𝗴. The Association is requested to conduct the Special Meeting in accordance with the Associations governing documents and applicable North Carolina law, including applicable requirements concerning: ● notice of the date, time, place, and purpose of the Special Meeting; ● identification in the meeting notice of each proposed director removal; ● Member participation in person or by any legally authorized means of remote participation; ● voting by Members present in person or by valid proxy as permitted by the governing documents and North Carolina law; ● determination of quorum at the Special Meeting; and ● separate consideration of each proposed director removal. 𝗧𝗶𝗺𝗶𝗻𝗴 𝗮𝗻𝗱 𝗡𝗼𝘁𝗶𝗰𝗲 This written demand is made pursuant to N.C.G.S. §55A-7-02(a)(2), which provides for a Special Meeting within 30 days after holders of at least ten percent (10%) of the votes entitled to be cast on the proposed issues sign, date, and deliver written demands to the corporation secretary. The Association shall also provide notice of the Special Meeting in accordance with Greenbriar Bylaw §4.6 and N.C.G.S. §47F-3-108, including the required advance notice and identification of the proposed director removals as purposes of the meeting. 𝗜𝗳 𝗤𝘂𝗼𝗿𝘂𝗺 𝗜𝘀 𝗡𝗼𝘁 𝗣𝗿𝗲𝘀𝗲𝗻𝘁 If quorum is not present at the Special Meeting, the Members reserve all rights available under N.C.G.S. §47F-3-109(c), including the right of the Members present in person or by proxy to vote to adjourn the meeting to a later date as permitted by law. N.C.G.S. §47F-3-109(c) expressly provides that when business cannot be conducted because a quorum is absent, a majority of those present in person or by proxy may adjourn the meeting, and the quorum requirement at the next meeting is reduced by one-half.
